These Terms of Service ("Terms") govern your access to and use of the CODS.LTD website (cods.ltd) and the services provided by CODS.LTD ("we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.
1. General Terms
By accessing this website, you confirm that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into binding agreements. If you are accessing on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
We reserve the right to modify these Terms at any time. Changes become effective upon posting to this page. Your continued use of the website after changes are posted constitutes acceptance of the modified Terms.
2. Scope of Services
CODS.LTD provides professional IT services including, but not limited to:
- Custom web application development (Web2 and Web3)
- Mobile application development (iOS, Android, cross-platform)
- Artificial Intelligence and Machine Learning solutions
- AI agent development and integration for businesses
- Big Data platform design and implementation
- UI/UX design and prototyping
- CRM, CMS, and enterprise software development
- DevOps, cloud infrastructure, and server configuration
- Technical consulting and digital transformation advisory
The specific scope, deliverables, timeline, and pricing for each project are defined in individual project agreements or statements of work (SOW), which form a separate binding contract between CODS.LTD and the client.
3. Project Agreements
All project engagements are governed by individual project agreements that specify:
- Detailed project scope and deliverables
- Timeline and milestones
- Pricing and payment schedule
- Acceptance criteria
- Change request procedures
- Warranty and support terms
In the event of a conflict between these Terms and a project agreement, the project agreement shall prevail for matters related to that specific project.
4. Pricing and Payments
Pricing information displayed on our website is indicative and serves as a general guide. Final pricing is determined through individual project proposals based on specific requirements.
- All prices are quoted in US Dollars (USD) unless otherwise specified
- Payment terms are defined in the individual project agreement
- Standard payment schedule: 30-40% advance, milestone-based payments, 10-20% upon final delivery
- Late payments may incur interest at 1.5% per month or the maximum rate permitted by law
- We reserve the right to suspend work on a project if payments are overdue by more than 15 business days
5. Intellectual Property Rights
Ownership of deliverables:
- Upon full payment, the client receives full ownership rights to all custom-developed code, designs, and deliverables created specifically for their project
- CODS.LTD retains ownership of proprietary tools, frameworks, libraries, and components that existed prior to the project or were developed independently
- Open-source components used in the project remain subject to their respective licenses
- CODS.LTD retains the right to use general knowledge, techniques, and skills gained during the project
Website content: All content on cods.ltd — including text, graphics, logos, images, code examples, and design elements — is the property of CODS.LTD and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
6. Client Responsibilities
To ensure successful project delivery, clients agree to:
- Provide accurate and complete project requirements and documentation
- Respond to requests for information or feedback within agreed timeframes
- Designate a single point of contact with decision-making authority
- Provide timely access to necessary systems, accounts, and third-party services
- Review and approve deliverables within the agreed acceptance period
- Make payments in accordance with the agreed schedule
Delays caused by the client's failure to meet these responsibilities may result in adjusted timelines and additional costs.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the engagement. This obligation:
- Covers all non-public business, technical, and financial information
- Survives the termination of any agreement for a period of 3 years
- Does not apply to information that is publicly available, independently developed, or rightfully received from a third party
8. Warranties and Disclaimers
Service warranty: CODS.LTD warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. If a deliverable fails to meet the agreed specifications, we will correct the defect at no additional charge within 30 days of notification.
Website disclaimer: The information on this website is provided "as is" without warranties of any kind, express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
To the maximum extent permitted by law, CODS.LTD disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- CODS.LTD's total aggregate liability under any project agreement shall not exceed the total fees paid by the client for that specific project
- In no event shall CODS.LTD be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption
- These limitations apply regardless of the legal theory (contract, tort, or otherwise) and even if CODS.LTD has been advised of the possibility of such damages
10. Termination
Either party may terminate a project agreement under the following conditions:
- By mutual written agreement
- For cause — if the other party materially breaches the agreement and fails to cure within 15 business days of written notice
- For convenience — by providing 30 days' written notice (client responsible for payment of work completed to date)
Upon termination, the client receives all completed deliverables for which payment has been made. Work-in-progress deliverables may be delivered upon payment for work completed.
11. Force Majeure
Neither party shall be liable for failure or delay in performance due to causes beyond their reasonable control, including but not limited to: natural disasters, war, terrorism, pandemic, government actions, power failures, internet disruptions, or cyberattacks. The affected party must notify the other promptly and make reasonable efforts to mitigate the impact.
12. Dispute Resolution
In the event of a dispute arising from these Terms or any project agreement:
- The parties shall first attempt to resolve the dispute through good-faith negotiation
- If negotiation fails, the dispute shall be submitted to mediation
- If mediation fails, the dispute shall be resolved through binding arbitration
- These Terms are governed by the laws of the jurisdiction specified in the project agreement, or English law by default
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
14. Entire Agreement
These Terms, together with any applicable project agreement, constitute the entire agreement between you and CODS.LTD regarding the subject matter hereof and supersede all prior or contemporaneous communications, whether electronic, oral, or written.
